Terms of Service
These Terms of Service ("Terms") govern your access to and use of Waveplan, the booking platform provided by Waveplan B.V. ("Waveplan", "we", "us"). By creating an account, publishing a booking page, or accepting a booking through the platform you agree to these Terms.
If you do not agree, do not use the platform.
1. About Waveplan
Waveplan is a software-as-a-service platform that helps activity providers (surf schools, sailing schools, instructors and similar service businesses, "Operators") manage their schedule, take online bookings, accept payments and communicate with their customers ("Customers") through a branded booking page.
Waveplan B.V. is established in the Netherlands. Our contact address and Chamber of Commerce details are published on our website.
The platform consists of three surfaces:
- the public booking page that each Operator runs at their own URL on Waveplan,
- the customer portal where Customers manage their own bookings,
- the dashboard that Operators use to run their business.
Each surface is governed by these Terms.
2. Who can use the platform
You may use Waveplan if you are at least 18 years old and have the legal capacity to enter into a contract. Operators must be a registered business or self-employed professional. Customers book in their own name or on behalf of the participants they list during checkout.
You are responsible for everyone who books, pays or otherwise acts under your account.
3. Accounts
Operator accounts are created through our sign-up flow. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Notify us immediately if you suspect unauthorised use.
Customers do not need a permanent account. We identify Customers by the email address they provide at checkout and, where the Customer wants to view or change their booking afterwards, by a one-time code we send to that address.
We may suspend or terminate any account that breaches these Terms, presents a security or fraud risk, or is used in a way that harms other users or third parties.
4. Operator obligations
As an Operator you are the contractual counterparty for the activities you sell through the platform. That means:
- You set the activities, prices, capacities, schedule and cancellation policy that appear on your booking page.
- You are responsible for the lawful and accurate description of those activities, including any safety, licensing or insurance requirements that apply.
- You deliver the activity to the Customer and handle any complaints, refunds or rebookings that arise from the activity itself.
- You comply with all applicable laws, including consumer protection, tax, employment, insurance and health and safety rules in the country where you operate.
- You keep the information on your Waveplan pages accurate and up to date.
Waveplan is not a party to the booking contract between you and your Customers. We provide the tooling that enables the booking; the activity itself is yours.
5. Customer bookings
When a Customer completes a booking, a contract is formed between the Customer and the Operator that runs the booking page. Waveplan facilitates the transaction but is not the seller.
The Operator's cancellation, rescheduling and refund policy as shown during checkout applies to the booking. Statutory consumer rights, where they exist, take precedence over anything that contradicts them in the Operator's policy.
6. Payments
Operators connect a payment provider (currently Mollie or Stripe) to receive payments. The payment provider holds and disburses the funds; Waveplan does not take custody of Customer money.
Each Operator is the merchant of record for the activities they sell. Waveplan charges the Operator a platform fee, plus the fees the payment provider charges for processing the payment. The applicable fees are shown in your dashboard and on your invoice.
Customers pay the Operator. Refunds are processed back to the original payment method through the same payment provider. The timing of a refund depends on the payment method and the provider's processing time.
7. White-label and branding
Operators run Waveplan under their own name, logo and colour scheme. Waveplan-branding on Customer-facing surfaces (such as the booking page or transactional emails) is shown or hidden depending on the Operator's plan.
Operators may not present themselves as Waveplan, claim to operate the platform, or misrepresent the relationship between their business and Waveplan.
8. Acceptable use
You may not use the platform to:
- offer activities that are illegal, dangerous without the required licensing, or that breach third-party rights,
- send unsolicited commercial messages or scrape the platform,
- attempt to access data of other Operators or Customers,
- probe, scan or test the security of the platform without our written consent,
- reverse-engineer, copy or resell the platform or any part of it,
- upload content that is unlawful, infringing, defamatory or contains malware,
- use the platform in a way that places an unreasonable load on it.
We may remove content, suspend a booking page or terminate an account if we believe these rules are being broken.
9. Your content
You retain ownership of the content you upload to Waveplan: your activity descriptions, photos, logo, email templates and similar materials ("Operator Content"). You grant Waveplan a worldwide, royalty-free licence to host, display, format and transmit Operator Content for the sole purpose of operating the platform on your behalf.
You confirm that you have the rights to the Operator Content you upload and that it does not infringe any third-party right.
We may remove Operator Content that breaches these Terms or that we are required by law to take down.
10. Personal data
Waveplan processes personal data on behalf of Operators (for example: Customer names, email addresses, booking history) as a processor under the GDPR. The Operator is the controller for that data.
Waveplan also processes a limited amount of personal data of Operators (account details, billing information, support history) as a controller.
Our Privacy Statement sets out what we collect, why we collect it, how long we keep it, and the rights you have. By using the platform you confirm that you have read the Privacy Statement.
Operators must publish their own privacy notice to their Customers and may not use Customer data for purposes the Customer has not agreed to.
11. Service availability
We aim to keep Waveplan available 24/7 but we do not guarantee uninterrupted access. We perform maintenance, ship updates and occasionally have to take parts of the platform offline. We try to schedule disruptive maintenance outside busy hours and to communicate planned downtime through the dashboard.
We are not liable for downtime caused by our hosting providers, payment providers, email providers, network outages or any other event outside our reasonable control.
12. Fees and billing
Subscription fees and transaction fees are shown on our pricing page and in your dashboard. Fees may change; we will give you at least 30 days' notice before a change takes effect for your account.
Invoices are issued in EUR unless agreed otherwise. Payment is due as stated on the invoice. We may suspend access to the dashboard for invoices that remain unpaid after the due date and after a reminder.
Statutory taxes (VAT, BTW) are added where required.
13. Termination
You may close your account at any time from the dashboard. Closing the account does not entitle you to a refund of fees already paid for the current billing period unless the law requires otherwise.
We may terminate your account on notice if you materially breach these Terms, if you fail to pay an invoice, or if continuing to provide the service would put us, our other users or our infrastructure at risk.
On termination we delete your data in line with the retention periods set out in the Privacy Statement. You can export your bookings and customer data from the dashboard before closing the account.
14. Intellectual property
Waveplan, the Waveplan logo, the platform software, the documentation and the visual design are the intellectual property of Waveplan B.V. or its licensors. Nothing in these Terms transfers any of those rights to you.
You may use the platform during the term of your subscription for the purpose for which it is intended. You may not copy, modify or distribute the platform or create derivative works.
15. Warranties and liability
The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law we exclude all implied warranties, including warranties of merchantability and fitness for a particular purpose.
To the maximum extent permitted by law Waveplan's total liability to you in any twelve-month period is limited to the fees you paid Waveplan in the preceding twelve months. We are not liable for indirect or consequential loss, loss of profit, loss of data, loss of goodwill or loss of business opportunity.
Nothing in these Terms limits liability that cannot be limited by law, including liability for intent, gross negligence, or death or personal injury caused by our negligence.
16. Indemnity
You indemnify Waveplan against third-party claims that arise from your use of the platform in breach of these Terms, from the activities you sell through the platform, or from Operator Content that infringes a third-party right.
17. Changes to the platform and to these Terms
We continuously improve the platform. We may add, change or remove features. Material changes are communicated through the dashboard or by email.
We may amend these Terms. The current version is always published at this URL. We will notify Operators of material changes at least 30 days before they take effect. Continued use of the platform after a change means you accept the amended Terms. If you do not agree, you may close your account before the change takes effect.
18. Governing law and disputes
These Terms are governed by the laws of the Netherlands. The Dutch courts in Amsterdam have exclusive jurisdiction over any dispute that arises out of or in connection with these Terms or your use of the platform, without prejudice to any mandatory consumer rights.
19. Contact
Questions about these Terms, or about the platform, can be sent through the contact form on our website or to the support address shown in your dashboard.
